Professional Standards and Conduct

Indemnification
You agree to indemnify, defend, and hold harmless Beacon, its partners, employees, and agents from and against all claims, liabilities, damages, losses, costs, expenses (including reasonable legal fees), and judgments arising from or relating to:

- Your violation of the rights of any third party

- Your failure to comply with your obligations under any Engagement Agreement
- Your use of our website in a manner that causes harm to our systems or reputation
This indemnification obligation survives the termination of your use of our website or services.
Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms and Conditions or any Engagement Agreement if such failure or delay is due to circumstances beyond our reasonable control, including but not limited to:
- Acts of God, including natural disasters
- War, terrorism, civil unrest, or industrial action
- Failure of public utilities or telecommunications networks
- Government actions or changes in law
- Pandemic or epidemic diseases
- Failure or delay by third parties upon whom we reasonably rely

Governing Law and Jurisdiction

Legal Services Ombudsman
If you remain dissatisfied after exhausting our internal complaints procedure, you may refer your complaint to the Scottish Legal Complaints Commission, which handles complaints about legal services in Scotland.
Litigation
As a last resort, disputes may be resolved through litigation in the Scottish courts. Both parties agree to act in good faith to resolve disputes before resorting to formal legal proceedings.
Severability
If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the provision shall be severed from these Terms and Conditions. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.
Waiver
No waiver by us of any term or condition of these Terms and Conditions shall be deemed a continuing waiver of such term or condition or a waiver of any other term or condition. Assignment

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any Engagement Agreement, constitute the entire agreement between you and Beacon regarding the matters covered. They supersede all prior agreements, understandings, negotiations, and discussions, whether written or oral.
In the event of any conflict between these Terms and Conditions and an Engagement Agreement, the Engagement Agreement shall prevail with respect to the specific services covered by that agreement.
Modifications to These Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website with an updated revision date. Your continued use of our website or services after changes are posted constitutes acceptance of the modified terms.
